WEBMD.COM HEADLINES AGREEMENT

THIS AGREEMENT (THE "AGREEMENT") GOVERNS YOUR USE OF THE WEBMD.COM HEADLINES SERVICE (THE "SERVICE."). BY CLICKING ON THE "I AGREE" BUTTON, YOU ARE AGREEING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT, WHICH GOVERNS YOUR USE OF HEADLINES AND OTHER CONTENT FROM WEBMD.COM. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, DO NOT CLICK THE "I AGREE" BUTTON. WEBMD.COM ("WEBMD.COM" OR "WE" OR "OUR") MAY MODIFY ANY OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, AT ANY TIME AND IN OUR SOLE DISCRETION, BY POSTING NOTICE OF A CHANGE OR A NEW AGREEMENT ON OUR SITE. YOUR CONTINUED USE OF THE SERVICE FOLLOWING OUR POSTING OF NOTICE OF A CHANGE OR NEW AGREEMENT ON OUR WEBSITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

1. GRANT. Subject to the terms of this Agreement, WEBMD.com grants you, during the Term, a revocable, nontransferable, nonsublicensable, royalty-free, non-exclusive license to display on your website ("Site") the headlines, links and other information and materials ("Content") that you receive directly through the Service. You agree not to modify, edit, alter or delete the Content or the Service in any way without WEBMD.com's prior written consent. You may not translate the Content Link(s) to another language or store the Content Link(s) on any computer or other media outside the United States. WEBMD.com may restrict, suspend or terminate your access to any or all of the Content or Service at any time without liability. WEBMD.com reserves the right to modify the Service at any time at WEBMD.com's sole discretion. You acknowledge that Content availability is subject to change at WEBMD.com's sole discretion. WEBMD.com may upon notice to you request that you delete, remove, amend or correct any portion of the Content from your Site for any reason during the Term. As soon as you receive such notice from WEBMD.com, you will delete, remove, amend or correct the Content as specified by WEBMD.com within 36 hours of the request. WebMD.com does not provide medical or diagnostic advice or services. You agree that the Content Link(s) is to be used for informational and educational purposes only. You agree that it shall not rely, or promote reliance, on the Content Link(s) as a substitute for the professional judgment of a health care professional in diagnosing and treating patients.

2. RESERVATION OF RIGHTS. Except for the license rights expressly granted to you hereunder, as between the parties, WEBMD.com owns and shall retain all right, title and interest in and to the Service and to any and all names, logos, trademarks, service marks, proprietary features and proprietary technology, trade secrets, patents, copyrights, and other intellectual property and proprietary rights of any type used by WEBMD.com to deliver or operate the Service. Nothing in this Agreement shall affect a transfer of copyright or ownership from WEBMD.com to you. As between you and WEBMD.com, WEBMD.com shall retain all ownership rights, including copyrights, in the Content it makes available to you through the Service. Your use of Content provided or created by WEBMD.com will inure solely to the benefit of WEBMD.com.

3. RESTRICTIONS. Except as expressly set forth in this Agreement, you may not, directly or indirectly: (a) sell, modify, translate, copy, publish, transmit, distribute or otherwise disseminate the Content or the Service or any portion thereof; or delete or fail to display any promotional taglines included in the Content, (b) rent, lease, or otherwise transfer rights to the Content or the Service; (c) display the name, logo, trademark or other identifier of another person (except for WEBMD.com) on your Site in such a manner as to give a viewer of your Site the impression that such other person is a publisher or distributor of the Content on the Site; (d) remove, conceal or obliterate any copyright or other proprietary notice or any credit-line or date-line on other mark or source identifier included on Content or in the Services, including without limitation, the size, color, location or style of WEBMD.com's marks; or (e) use Content or Services on any Site that contains nudity or pornographic material of any kind, displays material that exploits children under the age of 18, provides material that is grossly offensive to the online community, including expressions of bigotry, prejudice, racism, hatred or excessive profanity, promotes or provides instructional information about illegal activities or physical harm or injury against any group or individual, or use the Content or Services in any manner that is obscene, defamatory, libelous, invasive of personal privacy or misleading or violates and local, state or federal law or regulation. In the event that you receive a subpoena or any type of request for information related to the subject of this Agreement, whether formal or informal, from any local, state or federal regulator or regulatory agency, you agree to immediately notify WebMD.com and provide it with a copy, unless expressly prohibited by law.

Unless otherwise permitted by WEBMD.com, you will: (i) display all Content on your Site in the exact form received by you without modification; (ii) ensure that the fundamental meaning of the Content is not changed or distorted; (iii) comply with all applicable laws and all limitations and restrictions (if any) placed by WEBMD.com on the use, display or distribution of any Content; (iv) give WEBMD.com complete and accurate registration information when requested to do so; and (v) and not archive any Content for access by users at any future date after the Content has been removed from the your Site.

You acknowledge that the Service must directly and seamlessly link and redirect to the appropriate WEBMD.com web page when a user of your Site clicks on the Content (e.g. a headline). You shall neither display Content in such a manner that prohibits successful linking and redirection to, and delivery of, WEBMD.com's web page, nor may you frame any WEBMD.com web page. You must always include a clear and conspicuous notice on your Site in close proximity to the Content in a manner acceptable to WEBMD.com that indicates clearly that the Content is supplied by WEBMD.com and is protected by copyright and owned by WEBMD.com.

WEBMD.com assumes no liability for your activity in connection with the Services and the Content or for the development, operation, and maintenance of your Site. Any fraudulent, abusive, or otherwise illegal activity by you or in connection with your Site will be grounds for WEBMD.com, at its option, to terminate this Agreement. You will not attempt to hide your identity, represent yourself as someone else, compromise or attempt to compromise the security of any account, or interfere or attempt to interfere with the proper working of the Service. If you use, or attempt to use, the Service or any Content beyond the scope of the license granted in this Agreement, or beyond the scope expressly granted by WEBMD.com, or attempt to, or actually tamper, hack, spoof, use robots or scripts, copy, distribute, modify, or otherwise corrupt the administration, security, or proper function of any part of the Service, the Content or the WEBMD.com site, then, in addition to termination of this Agreement, you will be subject to appropriate legal and equitable action.

4. WARRANTY DISCLAIMER. You represent and warrant to WEBMD.com that your Site and all trademarks, service marks, logos, content and/or other materials on your Site, other than the Content, do not and will not infringe any third party rights, including, without limitation, trademark, service mark, copyright, right to publicity, right of privacy or other intellectual property right of a third party, constitute false, deceptive, unconscionable or unfair advertising or disparagement under applicable law. You further warrant and represent to comply with all applicable laws and regulations (including, for example, licensing requirements and administrative or professional rules). WEBMD.com represents and warrants that it has the right and authority to license the Content or Service to you as provided in this Agreement. WEBMD.com PROVIDES THE CONTENT AND SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS. EXCEPT AS EXPLICITLY SET FORTH IN THIS AGREEMENT, WEBMD.com HEREBY DISCLAIMS AND MAKES NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, AS TO ANY MATTER, INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT.

5. INDEMNIFICATION. You hereby agree, at your own expense, to indemnify and hold harmless WEBMD.com, WebMD Corporation, and their subsidiaries, affiliates and assignees, and their directors, officers, employees and agents, against any and all liability, damages, losses, expenses (including attorney's fees), claims, demands, suits, regulatory investigative costs, fines, judgments and costs and expenses incidental thereto, which may be suffered by, accrued against, charged to or recoverable from WebMD.com or any of its affiliates, or any of their respective officers, directors, agents or employees arising out of or resulting from (i) any use of the Content Link in violation of this Agreement or (ii) claims regarding the performance or non-performance of your Site or items found through your Site (iii) any breach or alleged breach by you of your obligations, representations or warranties under this Agreement, or any willful, intentional or negligent action or failure by you, your employees or agents; or (v) any actual or alleged patent or copyright infringement (including any contributory infringement claims), misappropriation of confidential information or violation of other intellectual or proprietary rights or licenses, including, without limitation, patent, copyright, trademark or trade secret rights. WEBMD.com reserves the right at its own expense to assume control of the exclusive defense of any claim or matter otherwise subject to indemnification by you and in such event you agree to fully cooperate with WEBMD.com's defense of such claim.

6. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL WEBMD.com, ITS SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THIS AGREEMENT, THE USE OF, OR THE INABILITY TO USE, THE SERVICE OR ANY PART OF THE SERVICE, WHETHER IN AN ACTION OR ARISING OUT OF BREACH OF CONTRACT, TORT OR OTHER CAUSE OF ACTION OR LEGAL THEORY, EVEN IF WEBMD.com IS ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. (BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, THE ABOVE LIMITATION MANY NOT APPLY TO YOU. IN SUCH STATES, THE LIABILITY OF WEBMD.com, ITS SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH STATE LAW.) YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT WEBMD.com IS NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER. IF YOU ARE DISSATISFIED WITH ANY WEBMD.com CONTENT OR SERVICES, OR WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE.

7. CONFIDENTIALITY. You acknowledge and agree that, in connection with the performance of your obligations under this Agreement, you may have access to or obtain some of WEBMD.com's nonpublic technical, business or product information ("Confidential Information"). You agree that, during the Term and for one (1) year thereafter, you will not disclose to any third party or use any Confidential Information disclosed except as expressly permitted in this Agreement, and that you will take all reasonable measures to maintain the confidentiality of Confidential Information in your possession or control, which will in no event be less than the measures you use to maintain the confidentiality of your own information of similar importance.

8. USE OF WebMD NAME. Except as expressly permitted under this Agreement or by law, you may not use WEBMD.com's name, or any trademark, service mark, trade name, logo or other commercial or product designations for any purpose without the prior written consent of WEBMD.com in each instance. Without limiting the generality of the foregoing, unless required by law, you will not, without the prior written approval of WEBMD.com, make any public statement, press release, presentation, or other announcement relating to the existence or terms of this Agreement.

9. TERM AND TERMINATION. The term of this Agreement (the "Term") will begin on the date you click the "I Agree" button below and will continue until terminated by either party in accordance with this Section. You may terminate this Agreement and the license granted herein by discontinuing use of the Service and destroying all copies of the Content on your Site, hard drive and other storage media. WEBMD.com may cancel or terminate this Agreement or your right to use the Service at any time without notice. In the event of cancellation or termination, you are no longer authorized to access the Service and agree to destroy and remove all copies of the Content from your Site, hard drive or other storage media upon learning of the cancellation or termination. You agree that WebMD.com's failure to terminate this Agreement for a violation of this Agreement does not waive its right to terminate the Agreement in the future for the same, or any other violation or breach of this Agreement.

10. JURY TRIAL WAIVER. THE PARTIES SPECIFICALLY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY COURT WITH RESPECT TO ANY CONTRACTUAL, TORTIOUS, OR STATUTORY CLAIM, COUNTERCLAIM, OR CROSS-CLAIM AGAINST THE OTHER ARISING OUT OF OR CONNECTED IN ANY WAY TO THIS AGREEMENT, BECAUSE THE PARTIES HERETO BELIEVE THAT THE COMPLEX COMMERCIAL AND PROFESSIONAL ASPECTS OF THEIR DEALINGS WITH ONE ANOTHER MAKE A JURY DETERMINATION NEITHER DESIRABLE NOR APPROPRIATE.

11. MISCELLANEOUS. Nothing in this Agreement shall be construed to constitute or appoint either party as the agent or representative of the other party for any purpose whatsoever, or to grant to either party any right or authority to assume or create any obligation or responsibility, express or implied, for or on behalf of or in the name of the other, or to bind the other in any way or manner whatsoever. Nothing in this Agreement limits the ability of WEBMD. com (i) to enter into other agreements with third parties with respect to arrangements similar in nature to or the same as those covered under this Agreement, or (ii) to provide goods or services that compete with the goods or services that you provide. If you access the WebMD Site from outside the United States, you do so at your own risk and are solely responsible for compliance with the laws of your jurisdiction. This Agreement and performance hereunder will be governed by the laws of the State of New York, without regard to its conflicts of laws rules. You hereby consent to the exclusive jurisdiction and venue of the state and federal courts in New York, New York in all disputes arising out of or relating to this Agreement or use of the Service. You may not assign this Agreement nor any interest, license or rights herein without the prior written approval of WEBMD.com. Except with respect to delays or failures caused by the negligent acts or omissions of either party, any delay in or failure of performance by either party under this Agreement (other than an obligation, if any, to pay money) will not be considered a breach of this Agreement and will be excused to the extent caused by any occurrence beyond the reasonable control of such party including, but not limited to, acts of God, power outages, or failures of the Internet, provided that the party affected by such event will immediately begin or resume performance as soon as practicable after the event has abated. You will be responsible for compliance with all applicable laws, rules and regulations (including, but not limited to those of the FDA) relating to your performance under this Agreement. You certify you are legally permitted to use the Services and access the Content, and if you are an individual, you are over 18 years of age. You take full responsibility for the selection and use of the Services and access of the Content. This Agreement is void where prohibited by law, and the right to access the Content is revoked in such jurisdictions. This Agreement constitutes the complete and exclusive agreement between the parties relating to the subject matter hereof and supersedes all prior proposals, understandings and all other agreements, oral and written, between the parties relating to this subject matter. The waiver or failure of either party to exercise any right provided for herein will not be deemed a waiver of any further right hereunder. This Agreement may not be modified or altered except by written instrument duly executed by both parties. If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision will be deemed restated, in accordance with applicable law, to reflect as nearly as possible the original intentions of the parties, and the remainder of the Agreement will remain in full force and effect. Sections 2-8, 10 and 11 of this Agreement will survive any termination, expiration or cancellation of this Agreement. Ambiguities, inconsistencies or conflicts in this Agreement will not be strictly construed against either party but will be resolved by applying the most reasonable interpretation under the circumstances, giving full consideration to the parties' intentions at the time this Agreement is entered into and common practice in the industry.
